Due to the rapid development of the internet, the terms listed in this Agreement cannot fully enumerate and cover all rights and obligations between you and ChemSmartLink. Therefore, various rules, service descriptions, privacy policies, etc. (hereinafter referred to as "Relevant Rules") that have been published or may be published in the future on ChemSmartLink in the form of announcements, notices, etc., constitute an integral part of this Agreement.

This Agreement may be adjusted from time to time according to business needs. We will notify you of updates through platform announcements and other methods. If you continue to use our services, it is deemed that you accept the modified agreement; if you do not agree, you should cease using the relevant services.

Your acceptance of this Agreement includes but is not limited to: accepting our emails, continuing to use services, clicking to agree to updates, and other methods recognized by us.

You must be a natural person, legal person, or other organization with full capacity for civil conduct and capable of independently bearing legal liability. If you do not meet this qualification, please do not register or use ChemSmartLink. All consequences arising therefrom shall be borne by you and your guardian.

ChemSmartLink prohibits users whose accounts have been closed or services terminated by the platform from registering again. When taking the aforementioned measures, the platform has no obligation to disclose specific judgment logic.

You shall provide true, accurate, complete, legal, and valid registration information, including but not limited to:

• Enterprise name, business license
• Contact information, email address, telephone number, website address, mailing address
• Business scope and relevant qualification certificates

When information changes, you shall update it promptly.

When using the platform, you must comply with national laws and regulations and platform rules, and shall not use ChemSmartLink to implement any illegal, criminal, or public order-violating behaviors.

Strictly prohibited from publishing the following information on ChemSmartLink:

• Feudal superstition, obscenity, pornography, gambling, violence, terror, or content inciting crime
• Content involving politically sensitive topics
• Fraudulent, false, inaccurate, or misleading information
• Content infringing upon others' intellectual property rights or trade secrets
• Content that insults, slanders, threatens, or infringes upon others' privacy
• Content that disparages or defames competitors
• Malicious software or program codes such as viruses, Trojan horses, crawlers, etc.
• Chemical product information that does not comply with chemical safety regulations or laws and regulations
• Other content that violates laws, regulations, or platform rules

You shall bear full responsibility for the compliance of all chemical product procurement or supply information published through ChemSmartLink. The platform verifies user information but cannot fully guarantee the authenticity, accuracy, and legality of all information.

Based on the global nature of ChemSmartLink, information you publish may be viewed by users in different countries. You must ensure compliance with relevant countries' import and export controls, trade restrictions, and other laws and regulations, and have the legal right to publish chemical product information.

ChemSmartLink is not responsible for software, hardware, taxes, communication, network service fees, and other expenses you need to pay due to using the platform.

If you choose to become a ChemSmartLink enterprise customer, you shall pay the corresponding service fees and be bound by the Membership Service Agreement. Specific charging standards refer to the service plans published on the platform.

ChemSmartLink has the right to adjust price standards and payment methods according to actual circumstances, but users who have paid service fees are not affected.

If you engage in the following behaviors, ChemSmartLink has the right to suspend or terminate services without notice:

• Registering using false license information
• Providing untrue registration information or failing to update it promptly
• Loss of capacity for civil conduct, or being deregistered, bankrupt, or liquidated
• Publishing platform-prohibited information or excessively publishing duplicate information
• Interfering with platform market order, such as sending commercial information without authorization
• Infringing upon others' intellectual property rights or other legitimate rights and interests
• Attacking platform systems or attempting illegal intrusion
• Using destructive programs such as viruses, worms, etc.
• Engaging in or suspected of fraudulent activities
• Violating special regulatory requirements of the chemical industry
• Other behaviors violating laws, regulations, or platform rules

ChemSmartLink has the right to reasonably determine whether you constitute a breach of contract based on laws, regulations, and platform rules, and take corresponding penalty measures.

If you have a dispute with other platform users, you may choose the following channels for resolution:

• Independent negotiation with the disputing party
• Filing a complaint with ChemSmartLink
• Filing a complaint with relevant administrative departments
• Submitting to an arbitration institution for arbitration
• Filing a lawsuit in court
• Other methods agreed upon by both parties

If you choose to file a complaint with ChemSmartLink, you acknowledge the platform as an independent third party making handling decisions based on evidence and platform rules. The platform has the right to independently decide whether to participate in dispute handling.

You have the obligation to provide materials promptly after receiving notice and cooperate in dispute handling. Otherwise, the platform has the right to unilaterally determine whether the complaint is established.

You understand that ChemSmartLink is not a professional judicial institution, and handling decisions may not fully meet your expectations. If dissatisfied, you may still adopt other dispute resolution channels.

ChemSmartLink shall not bear liability for breach of contract for service issues caused by the following reasons:

• Force majeure such as natural disasters, strikes, riots, wars, etc.
• Network factors such as power failures, hacker attacks, system failures, etc.
• Technical support factors such as platform equipment maintenance, system failures, etc.

You understand that there is a massive amount of user-published information on the platform. ChemSmartLink cannot review the authenticity, accuracy, and security of all chemical product information one by one. You should exercise prudent judgment and independently bear usage risks.

You agree that ChemSmartLink may promote the company and product information you provide on the operated platform or social media. The platform is exempt from relevant liability when it does not alter the substantive content of the information.

You guarantee that the published chemical product information complies with the laws and regulations of relevant countries and the destination countries of sales. Losses caused by violations shall be borne by you.

ChemSmartLink is not responsible for losses caused to users due to using the platform, nor does it make any guarantees regarding service effects.

If you commit infringement, you shall independently bear legal liability. ChemSmartLink has the right to take penalty measures according to the Intellectual Property Infringement Penalty Rules.

You grant ChemSmartLink a free, permanent, irrevocable, non-exclusive license worldwide, allowing the platform to use the content you publish in any form for operational and promotional purposes.

Without explicit written authorization from ChemSmartLink, any form of copying, reprinting, or crawling platform content is prohibited, especially core assets such as user data and inquiry information.

Circumventing platform security measures, using tools such as crawlers to illegally obtain data, and spreading malicious codes such as viruses are prohibited.

Except as authorized by laws, regulations, or platform rules, commercial use of platform data is not permitted.

ChemSmartLink establishes security analysis systems to protect data security but cannot eliminate all security risks.

If your data is associated with user data that poses security risks, the platform has the right to directly terminate all services to you, and losses shall be borne by you.

The conclusion, execution, and interpretation of this Agreement shall be governed by the laws of the People's Republic of China. In the absence of explicit provisions, reference shall be made to international commercial practices and chemical industry practices.

If any clause of this Agreement is invalid or unenforceable, the remaining clauses shall continue to be valid.

Disputes arising from this Agreement or platform services shall first be resolved through friendly negotiation; if negotiation fails, they shall be submitted to the People's Court in the location of ChemSmartLink for litigation.
